Contracts, Usage Rights, and Exclusivity

What to put in UAE creator contracts: deliverables, paid usage, exclusivity, kill fees, disclosure, and payment terms that prevent WhatsApp disputes.

If it is not in writing, it will reappear as a voice note argument

Dubai creator deals still close on WhatsApp. That is fine for speed — fatal for scope. A short written agreement (PDF or e-sign) turns a friendly collab into something finance, ads, and legal can live with.

This is not a law firm memo. It is an operator checklist of clauses that prevent the expensive misunderstandings: “we thought we could run ads,” “she posted a week late,” “exclusivity was implied.”

Minimum viable creator agreement

Even for a AED 1,500 micro deal, capture:

  1. Parties (brand legal name + creator name/handle)
  2. Campaign description
  3. Deliverables and platforms
  4. Timeline (draft + live)
  5. Fee and payment schedule (AED)
  6. Usage rights (organic vs paid; duration; territory; platforms)
  7. Disclosure requirements
  8. Content approval process
  9. Cancellation / kill fee
  10. Governing practicalities (how notices work; who owns raw files)

For larger fees, add exclusivity, moral rights waivers where appropriate, confidentiality, and dispute venue language via proper counsel.

Deliverables: specify like a producer

Bad: “1 Instagram post.”

Better:

  • 1 Instagram Reel, 15–35 seconds, vertical, posted to feed
  • 4 Instagram Stories within 2 hours of Reel, including link sticker if available
  • Caption in English with brand handle and code BAY12
  • Branded content tool tagged to brand’s Business account
  • Raw export uploaded to shared Drive within 48 hours of go-live

If TikTok or Snapchat is included, say so. “Cross-post everywhere” without fee discussion is how relationships burn.

Usage rights: the clause that pays for itself

Organic posting rights and paid amplification rights are different products.

Define:

  • Organic: creator publishes on their channel
  • Paid usage / whitelisting / Spark Ads: brand runs the content as ads from brand or creator handle
  • Derivative edits: can brand cut hooks, add captions, change CTA?
  • Duration: 30 / 60 / 90 days / 12 months
  • Territory: UAE only vs GCC vs worldwide
  • Platforms: Meta, TikTok, Snapchat, YouTube, DOOH, email, website

Illustrative commercial framing (directional):

  • Organic-only micro Reel: AED 1,500
  • Same Reel + 60-day Meta whitelist UAE: AED 1,500 + AED 1,000–1,500 usage
  • Always-on 6-month usage for hero asset: negotiate deliberately — it is valuable

If your growth plan depends on whitelisting, do not “remember rights later.”

Exclusivity: expensive, often overbought

Exclusivity means the creator will not promote defined competitors for a period.

Write exclusivity tightly:

  • Category definition (“full-service Italian restaurants in Dubai” not “all F&B”)
  • Named competitors if needed
  • Duration (14–90 days typical for SMEs)
  • Geography
  • Whether personal organic mentions of past visits are restricted (usually no)

Pay for exclusivity only when a competitor could realistically book the same creator in the same window and that would confuse your launch story. A café in Al Quoz rarely needs 6-month exclusivity with a micro foodie.

Approval and creative control

Balanced language:

  • Brand may reject for factual error, legal risk, or missing mandatory elements
  • Brand may not demand unlimited stylistic rewrites
  • One revision round included; extra rounds at AED X
  • If brand delays feedback beyond Y days, live date shifts

This protects both sides during Ramadan rushes and multi-stakeholder brands where “the owner’s cousin” becomes an unplanned creative director.

Disclosure and compliance

Contract should require:

  • Platform paid partnership labels
  • Caption disclosure (#ad or equivalent)
  • Compliance with brief’s claim restrictions
  • Removal or correction of non-compliant content within an agreed window

Payment terms that reduce ghosts and grudges

Common patterns:

  • 50% on signature, 50% on go-live for new relationships
  • 100% net-15 after delivery for trusted roster partners
  • Kill fee 25–50% if brand cancels after concept work or shoot day is held
  • Creator postponement rules if they no-show (reschedule window vs partial refund)

Pay in AED where possible; if USD/EUR invoices appear, clarify FX and VAT treatment with your finance team. Do not improvise tax advice in a caption.

Cancellations, force majeure, and Dubai realities

Venues flood, products stuck in customs, talent gets sick, sandstorms wreck rooftop shoots. Spell out:

  • Reschedule windows
  • What counts as completed work if only Stories ran
  • Weather outdoor alternatives
  • Who pays travel if brand moves location last minute

Raw files and moral rights (practical view)

Ask for raw or high-quality exports when you need ads. Some creators price this separately. Clarify whether the creator can reuse the content on their channel after exclusivity (usually yes) and whether brand can enter the content into awards or PR (ask).

Agency-represented talent

When an agency signs:

  • Confirm who is party to the contract
  • Confirm the creator personally will deliver (not a lookalike editor with stock B-roll)
  • Confirm whitelist permissions technical steps (access, passwords never over plain WhatsApp if avoidable — use proper business tools)

Lightweight process for SMEs

  1. Agree commercial terms in WhatsApp summary message.
  2. Drop into a 2–3 page template agreement same day.
  3. E-sign before product ships or table is held.
  4. Attach final brief as Schedule A so scope cannot drift.

For sub-AED 1,000 pure seeding with no ads, a structured email confirmation may suffice — still write the scope. Once money, ads, or medical claims appear, formalise.

Mistakes that create expensive ambiguity

  • “You can use the content” with no duration
  • Buying exclusivity you never enforce or need
  • No late-posting remedy
  • Paying 100% upfront to unknown accounts
  • Forgetting disclosure obligations entirely
  • Assuming TikTok Spark is included because Instagram was discussed

Bottom line

Contracts are not distrust — they are how professional creator markets scale. Specify deliverables, pay for usage deliberately, buy exclusivity rarely, and put disclosure and kill fees in plain language. Your future self, refreshing Ads Manager at midnight, will thank you.
